Shelf Registration

A term used for the SEC rule 415, which allows a corporation the ability to comply with registration requirements up to 2 years before doing a public offering. The corporation must still file the required annual and quarterly reports to the SEC.

With a registration on the shelf, the corporation can go to market quickly when conditions become favorable.

shelf registration

A simplified method of registering securities that permits corporations to file a relatively uncomplicated registration form with the SEC and, during the subsequent two years, issue the securities. Shelf registration is supposed to provide more flexibility for corporations when they are raising funds in the capital markets. Shelf registration is permitted by SEC Rule 415.
